Duties & Responsibilities
1. Legal Advisory
- Provide sound and legal advice and guidance to internal departments, senior management and relevant stakeholders on a wide spectrum of legal and compliance matters.
- Review, draft, and negotiate contracts, agreements, and other legal documents to ensure alignment with company policies and to safeguard the company’s legal and commercial interests.
- Amend and standardize contractual clauses in accordance with legal best practices and internal governance frameworks.
- Support the handling and resolution of litigation, disputes, and regulatory inquiries involving government authorities, external parties, or commercial claims.
- Liaise with group legal team and external legal counsel where required and ensure legal services are delivered efficiently and in alignment with corporate strategy and risk appetite.
2. Regulatory Compliance
- Monitor, interpret, and disseminate changes in laws, regulations, and industry standards (e.g., PDPA, AMLA, Consumer Protection, Strategic Trade) including those issued by or relevant to brand principals Daimler Truck AG, Mercedes-Benz AG, and Mitsubishi Fuso Truck and Bus Corporation (MFTBC).
- Review regulatory circulars and industry guidelines to identify compliance gaps and ensure operational alignment with national and cross-border requirements as well as manufacturer expectations
- Map internal practices against applicable regulatory and principal requirements, and communicate risk and compliance findings to affected departments and senior leadership.
- Develop, implement, and update compliance policies, standard operating procedures (SOPs), manuals, and checklists to reflect regulatory and principal-driven changes Participate in Group Integrity Management Committee initiatives (e.g. anti-bribery and corruption) and serve as the designated liaison officer for Personal Data Protection (PDPA) implementation and reporting.
3. Risk Management
- Serve as the Risk Management Officer for Hap Seng Trucks Distribution Sdn. Bhd. (HSTD), and the broader Automative Division on risk-related matters.
- Liaise with all relevant department heads and stakeholders to identify, assess, and implement strategies for managing operational, financial, legal, and compliance risks.
- Provide biannual risk management updates to Hap Seng Consolidated Berhad (Group), highlighting key risk developments, mitigation actions, and emerging issues.
- Conduct regular risk and compliance assessments to identify, evaluate, and mitigate potential threats to the business.
- Monitor and test internal controls to assess their adequacy, identify gaps, and initiate corrective actions as needed.
- Develop, implement and track corrective measure to address identified risks and control deficiencies.
- Maintain oversight of compliance-related incidents and breaches, ensuring timely reporting, root cause analysis, and resolution in accordance with internal protocols and regulatory expectations.
4. Compliance Program
- Design, develop and deliver compliance training programs to employees at all levels to promote awareness and adherence to regulatory requirements and company policies.
- Conduct internal compliance audits and investigations to assess the effectiveness of compliance frameworks and identify potential areas of improvement.
- Maintain accurate, well-organized documentation of all compliance activities, including policies, training, records and audit reports.
5. Environmental, Social and Governance (ESG) Officer
- Develop and refine the company's ESG strategy and roadmap, ensuring alignment with business goals, regulatory trends, and national sustainability priorities.
- Conduct materiality assessments to identify and prioritize ESG issues relevant to the company and its stakeholders.
- Provide quarterly ESG updates to the Group, including progress on data collection and GHG (Greenhouse Gas) inventory for both HSTD and HST.
6. Safety Coordinator
- Serve as the company Occupational Safety and Health (OSH) Coordinator to manage overall safety programs and initiatives.
- Stay updated on the Occupational Safety and Health Act 1994 (Act 514) and updates from DOSH Malaysia, ensuring company practices comply with applicable laws and guidelines. Support the development, implementation, and periodic review of the company’s OSH policies, procedures, and safety management system.
7. Other Duties
- Perform any additional duties, special assignments, or projects as assigned by management in line with the evolving needs of the business.
